By using or accessing www.tradeit.co.zw (the Website) in any way, viewing or browsing the Website, or adding your own content to the Website, you are agreeing to be bound by these Terms of Use. If you do not want to agree to these Terms of Use, you must not access or use the Website.
This Website is offered and available to users who are 18 years or older. If you do not meet all of these requirements, you must not access or use the Website, and you should immediately close all of your access to this Website.
We reserve the right to modify or discontinue the Website, at any time, for any reason and without notice, and to terminate a user’s account should that user be in violation of any of these Terms of Use.
1. Application and Acceptance of the Terms
1.1 These Terms of Use (“Terms”) govern your access to and use of the Tradeit platform, including its website, mobile applications, and related services (“Services”).
1.2 By using Tradeit Services as a Buyer, Seller, or any other user, you agree to be bound by these Terms and the related Seller Agreement where applicable.
1.3 If you do not agree with any part of these Terms or the Seller Agreement, you must not use the Services.
2. Provision of Services
2.1 Tradeit acts as a marketplace platform facilitating transactions between Vendors (Sellers) and Buyers.
2.2 Tradeit provides features such as product listings, order management, payment facilitation, delivery coordination, and customer support.
2.3 Specific service obligations related to Vendors are set out in the Seller Agreement (Sections 4, 7, 8, 10) and are incorporated by reference.
2.4 Tradeit may modify, suspend, or discontinue any feature of the Services at any time without prior notice.
3. Users Generally
3.1 Users include Buyers, Vendors, Delivery Agents, and any individuals accessing Tradeit Services.
3.2 Users must be legally capable of entering contracts and comply with applicable laws, including import, export, taxation, and consumer protection regulations.
3.3 Use of Tradeit Services for unlawful, fraudulent, or unauthorized purposes is strictly prohibited.
4. Member Accounts
4.1 Users may be required to create an account to access full Services functionality.
4.2 Account holders are responsible for maintaining the confidentiality of their login credentials and for all activities under their account.
4.3 Users must provide accurate and up-to-date information during registration.
4.4 Tradeit reserves the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.
5. Member’s Responsibilities
5.1 Users agree to use the Services in accordance with all applicable laws, these Terms, and the Seller Agreement where relevant.
5.2 Buyers agree to provide accurate delivery information and cooperate with delivery agents.
5.3 Vendors must fulfill their obligations as described in the Seller Agreement Sections 4, 8, 9, 18 (Onboarding, Fulfillment, Inspection, Responsibilities).
5.4 Users must promptly report any suspicious or unauthorized use of their account to Tradeit.
6. Breaches by Members
6.1 Tradeit may investigate and take appropriate action against Members who breach these Terms or the Seller Agreement.
6.2 Possible sanctions include warnings, account suspension, restriction of Services access, or permanent termination.
6.3 Serious breaches may be referred to legal authorities.
7. Transactions Between Buyers and Sellers
7.1 Tradeit facilitates transactions but is not a party to the sales contract between Buyers and Vendors, except as otherwise stated in the Seller Agreement Section 5 (Relationship of Parties).
7.2 Buyers and Vendors are responsible for complying with all terms related to orders, payments, returns, and refunds as governed by the Seller Agreement Sections 12, 15 (Payment Terms, Returns & Refunds).
7.3 Tradeit may mediate disputes between Buyers and Vendors as outlined in Seller Agreement Section 16 (Arbitration & Dispute Resolution).
8. Limitation of Liability
8.1 Tradeit provides the Services “as is” and does not guarantee uninterrupted or error-free operation.
8.2 Except as expressly provided in the Seller Agreement Section 19 (Indemnification & Liabilities), Tradeit shall not be liable for indirect, incidental, consequential, or punitive damages arising from use of the Services.
8.3 Users agree to indemnify and hold harmless Tradeit from claims arising out of their misuse of the platform or violation of these Terms.
9. Force Majeure
9.1 Tradeit is not liable for failure to perform any obligation due to causes beyond its reasonable control, including but not limited to natural disasters, strikes, acts of government, or technical failures.
9.2 In such events, Tradeit will notify Users as soon as practicable and make reasonable efforts to resume Services.
10. Intellectual Property Rights
10.1 All intellectual property rights in the Tradeit platform, including trademarks, logos, software, and content, are owned by or licensed to Tradeit.
10.2 Users are granted a limited, non-exclusive, non-transferable license to use the platform for its intended purposes.
10.3 Unauthorized copying, modification, distribution, or creation of derivative works is prohibited.
11. Notices (Domicilium citandi et executandi)
11.1 For all legal purposes, Tradeit’s domicilium address is: 123 Tradeit Ave, Harare, Zimbabwe.
11.2 Users agree that electronic communication, including emails and in-app notifications, constitute valid notice.
12. Governing Law
12.1 These Terms, and the use of the Tradeit platform, are governed by the laws of Zimbabwe, consistent with Seller Agreement Section 21 (Governing Law).
12.2 Any disputes shall be subject to the dispute resolution mechanisms outlined herein and in the Seller Agreement.
13. Termination
13.1 Tradeit reserves the right to suspend or terminate User access at its discretion for breach of these Terms or inactivity.
13.2 Users may terminate their accounts by following the prescribed process on the platform.
13.3 Termination will not affect rights or liabilities accrued prior to termination, as outlined in Seller Agreement Section 20 (Modification & Termination).
14. General Provisions
14.1 These Terms constitute the entire agreement between Users and Tradeit regarding platform use.
14.2 If any provision is held invalid or unenforceable, the remainder shall continue in full force and effect.
14.3 Tradeit may assign its rights or obligations without User consent.
15. Changes, Updates and Upgrades
15.1 Tradeit may update or modify these Terms from time to time.
15.2 Users will be notified of material changes via the platform or email, and continued use of the Services constitutes acceptance of the updated Terms.
